ITEM 8:THE NATURE OF THE ISSUER'S BUSINESS

 

The concept of the company is to set up mobile processing plants to attack the waste streams at their source. This has never been done by any competition. Our concept was to reduce the transport liability to the producing company and treat the problem on their site, which is usually already permitted and which reduces all of the costs and the chances of transport spills or disasters. Most of our current equipment design is still based on the mobile concept. In the oil fields, most of the waste material is left at the drilling site, such as drilling mud. With our technology processes, we are able to do much of the reprocessing of the mud at the site and clean up the equipment as needed without the expensive transport costs. To achieve the objectives of the company, Eagle is currently focusing on the following strategies and its main technologies. The current production in the oil and gas properties is only a small proportion of the total potential. With additional capital investment per well, each well can be brought on line. The market for the gas and the oil is not expected to plummet so the future revenue stream should stay steady with increases based on the number of wells put into production each year.

 

Eagle Environmental Technologies, Ltd. is a U.S. public corporation (Trading symbol "EGVR") and is a technology holding, development and marketing company to eliminate or recycle hazardous waste by acquiring and marketing the best technology available.  The acquisition of these vital technologies may be by purchase of patent rights, joint venture arrangements, or value added resale agreements.  By entering the oil and gas industry, Eagle will have the opportunity to develop its technologies from within the industry instead of from the outside. The addition of engineering personnel to the team allows the company to pursue more technical niches not previously available.  Our targeted customers would be the petroleum industries with further demonstrations arranged for the food industry and others as we develop the end effectors (nozzles) for each industry or application. The company will continue to develop and market new technologies for processing toxic wastes. The company plans to only do the research and development of the processes, and license the processes to other worldwide companies for construction of the plants required.

 

The company owns no real estate. All rights to the ownership items are in the toxic processing technologies and related equipment.

 

                Acquired technologies and assets:

WaterClear™: Water purification equipment for surface water. This is the only process approved in California for surface water purification using a membrane.

                ZawCAD™: Cryogenic process using high-pressure nitrogen stream

ZawMET™: Uses the ZawCAD process with additional equipment to process petroleum refining catalyst for reuse.

Cyclo-Mill™: Exclusive milling process available through our partner, EDC Engineering Inc.

Oil and Gas properties: These are previously developed properties that are being reconditioned to become operational again with new technologies

Wilmot, Chairman/CEO:  Graduate of University of Minnesota 1966, Formed Eagle Environmental Technologies Ltd., in June of 1990, serving as Founder/Director and CEO during the development phase to present condition; directed merger of Public Company and Eagle creating the current Eagle configuration and continued as the lead officer and director; 1981-1986, Managing Partner of a gold mining project, wrote ERI report, designed the mining operation, facilitated the management organization of Limited Partners. 1979-1980, Organized and co-founded the New Central Sierra Bank, served as the Chairman of the Board, directed all State and Federal approval processes, recruited the directors and President, Currently the bank has five branches. No pay was offered or received for the work on this bank and no stock was given or purchased in the operation; 1977 to Present, a Real Estate Broker within California; 1973-1979 co founded Office Supply Store and Leasing company in California; 1966-1973 Area Supervisor for Texaco Inc. in Minneapolis, top sales representative in the Midwest Region, second in the Nation 1971.

 

Judith A. Wilmot, Secretary/Treasurer/Director:  Co-Founder Eagle Environmental Technologies LTD.; Graduate of the University of Minnesota; Art teacher in the Minneapolis/St. Paul Public School System.  California Business: Secretary/Treasurer of JAB Enterprises, Inc.; Free Lance Commercial Artist for private Business and Zoological Parks and Aquariums, published Art Illustrator and Writer.  1979-1980, Organized and co-founded the New Central Sierra Bank, served as the Secretary of the organization Board of Directors; 1973-1979 co founded Office Supply Store and Leasing company in California

 

Richard LaMantain,  Vice President, Director, National Marketing, Graduate Fullerton College with AA degree, EPA liaison, coordinating the marketing of Franchisees within the various regions, coordinated with the international markets on training and testing of the various technologies.  Richard has worked for Environmental Industries in marketing for 17 years, which makes him experienced in sales and market development. He sells to wholesalers, contractors and architects in the California and Nevada area. Prior to working with Environmental Industries, Richard operated his own landscape brokerage, Richard LaMantain and Associates, for plants within the Southern California area. He is currently a member of the Board of Directors of California Landscape Contractors Association, and Sacramento Tree Foundation, a non-profit foundation dedicated to the "greening of Sacramento".

 

James A. Frye, P.E., EVP and Director, Chief, ZawCAD Project Engineer, B.S. Corporate Affiliations, EDC Engineering, 1970 to present, Kerr-McGee, Nuclear Division Sr. Project Engineer 1968 to 1970; Cabot Corporation, Chief Mechanical Engineer 1965 to 1968; Halliburton Services, Inc., Sr. Mechanical Engineer 1954 to 1965. Mr. Frye’s most recent projects have included development, with Eagle Environmental Tech., of the ZawMET catalyst de-metalizing process.  Under Mr. Frye’s direct technical supervision, EDC successfully completed engineering/design, construction services contractor for Los Alamos National Laboratory (LANL) between 1999 and 2003; remote controlled hand vacuum, vapor deposition facility for hazardous materials, remote controlled/automated system for laser cutting pressurized plutonium canisters inside a 15000 psi pressure vessel, chilled water system for the super conductor laboratory machine tool and electric furnace modifications, dust handling, collecting and recycling systems; and the EDC Zero Emission chip collectors, (ZECC) for the new Beryllium technology facility. Industrial projects during this period include engineering/design of ZawCAD 60,000 psi liquid nitrogen hull cleaning system for EPE/Lockheed, Piraeus, Greece. Other projects included design of on-board wash treatment systems for Bigelow Aerospace and a pilot facility for testing Corning ceramic membranes used to filter high temperature flue gas in an Ameripol petrochemical plant, Orange, Texas.  From 1992 to 1995, he was instrumental in developing the "PERC" induction coupled plasma process for thermal destruction of military energetics that was successfully demonstrated at Drexel University and Alliant Tech. Systems, Elk River, MN proving grounds. During this time, he was also responsible for development of the "IGOR" telerobotic system for remote maintenance and repair of contaminated vessels for Los Alamos National Laboratory (LANL). Mr. Frye provided mechanical engineering/design of the industry's first "CCBA" process unit for converting industrial wastes into ceramic aggregate that was successfully operated at the Rohr Industries plant near Chula Vista, California. From  1988 to 1995, Mr. Frye served as Executive Technical Consultant to LANL's Waste Management Division. He also engineered an electric infrared conveyor-type incinerator facility for the Portsmouth (DOE) Gaseous Diffusion plant and has provided conceptual design for hot cell manufacturing of nuclear fuel elements for space station reactors in the 21st Century. International projects included a uranyl nitrate solvent extraction plant for INER, Taiwan, a petroleum coke calciner/desulfurizer unit for GOFI, Egypt; a chlorine cell casting unit for DOW-Korea; a synthetic rubber additive unit for Petroleos Mexicanos; a North Sea bulk cement/drilling mud terminal; specialized petrochemical systems/equipment for ROMCHIM, Romania; an integrated gas field installation for Petrobangla, Bangladesh; a deep well drilling rig for Colombia and engineering of RADWASTE treatment systems for Ontario-Hydro of Toronto. Mr. Frye has served as Executive Technical Consultant to the governments of Romania, Taiwan, Nigeria and Bangladesh and to private firms in Canada, France, Germany, Norway, Sweden, India, and Singapore.
